Payment Terms

1. Overview

These Payment Terms govern all financial transactions on the Fend platform, including membership subscriptions and Pilot transaction fees. These terms are part of and subject to our Terms of Service.

2. Membership Subscription

Access to the Fend platform requires a paid membership subscription. Fend offers a single subscription tier with pricing displayed at the time of checkout.

Subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout). Your subscription renews automatically unless you cancel before the end of the current billing period.

Payment is processed through Stripe. By subscribing, you authorize Fend to charge your payment method on file for the subscription fee at each renewal.

3. Promotional Codes

Fend may issue promotional codes that discount or waive subscription fees for a specified period. Promotional codes: (a) are non-transferable; (b) may be single-use or limited-use; (c) have an expiration date; and (d) may not be combined with other offers unless explicitly stated.

When a promotional period ends, your subscription will automatically renew at the standard rate unless you cancel.

4. Pilot Transaction Fees

When two companies engage in a Pilot through the Platform, Fend charges a transaction fee to facilitate the engagement.

The transaction fee is 5% of the total agreed Pilot contract value, charged to each party: (a) 5% charged to the company posting the Pilot (the "buyer"); and (b) 5% charged to the company engaged to fulfill the Pilot (the "provider"). The total platform fee is 10% of the Pilot contract value.

Pilot payments are processed through the Platform. The buyer pays the full Pilot amount plus their 5% fee. Fend holds these funds until the Pilot is marked as complete. Upon completion, the provider receives the Pilot amount minus their 5% fee.

Transaction fees are non-refundable once a Pilot has been marked as complete.

5. Pilot Payment Process

When a Pilot engagement is agreed upon: (a) the buyer submits payment for the Pilot amount plus the 5% buyer fee; (b) Fend holds the funds in escrow; (c) the provider delivers the agreed work; (d) upon mutual confirmation of completion, Fend releases payment to the provider minus the 5% provider fee.

If a Pilot is canceled before work begins, the buyer receives a full refund of the Pilot amount and buyer fee. If a Pilot is canceled after work has begun, the parties should attempt to reach a mutual resolution. Fend may mediate disputes but is not obligated to do so.

Fend reserves the right to hold funds for up to 10 business days after Pilot completion for fraud prevention and dispute resolution purposes.

6. Refunds and Cancellation

Subscription fees: You may cancel your subscription at any time through the Stripe Customer Portal (accessible from your Settings page). Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

Pilot transactions: Refund policies for Pilot payments are described in Section 5 above.

7. Failed Payments

If a subscription payment fails, we will attempt to charge your payment method up to 3 times over a 10-day period. If all attempts fail, your subscription will be suspended and your access to the Platform will be restricted until payment is resolved.

You are responsible for maintaining a valid payment method on file.

8. Taxes

Subscription fees and transaction fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by your jurisdiction. Stripe may collect and remit taxes where required by law.

9. Currency

All fees are denominated in United States Dollars (USD). If your payment method is in a different currency, your bank or card issuer will convert the charge at their exchange rate and may apply additional fees.

10. Changes to Pricing

Fend may change subscription pricing or transaction fee rates with at least 30 days' notice. Price changes apply at your next renewal, not mid-cycle. If you do not agree with a price change, you may cancel your subscription before the change takes effect.
